Welcome to AgencyQuorum. These Terms of Service (“Terms”) govern your access to and use of the internet forum located at https://community.agencyquorum.com (the “Forum”) and the broader AgencyQuorum platform.

By accessing, browsing, or logging into the Forum, you agree to be bound by these Terms with AgencyQuorum (“the Company,” “we,” “us,” or “our”). If you do not agree to all of these Terms, you may not use the Forum.

  • :identification_card: Professional Licensing: Access to this platform is strictly limited to licensed insurance professionals in good standing. You must possess and provide a valid National Producer Number (NPN). We reserve the right to verify your licensure status with state Departments of Insurance (DOI) or the National Association of Insurance Commissioners (NAIC) at any time.
  • :stop_sign: Revocation: You may no longer use the Forum if your insurance license is suspended, restricted, or revoked in any state, or if the Company explicitly revokes your access.

:medical_symbol: 2. Strict Insurance Compliance & Acceptable Use

We operate in highly regulated markets (Medicare, ACA, Life). As a user, you are solely responsible for ensuring your communications comply with all federal and state laws, including Centers for Medicare & Medicaid Services (CMS) guidelines.

  • :prohibited: No PHI/PII (HIPAA Compliance): You may never submit Protected Health Information (PHI) or Personally Identifiable Information (PII) to the Forum. You must ensure total client anonymity in all scenarios, quotes, and discussions.
  • :bookmark_tabs: Proprietary Carrier Materials: You may not upload, distribute, or leak unapproved marketing materials, internal carrier memos, proprietary commission schedules, or any document not explicitly authorized by a carrier for public distribution.
  • :handshake: Anti-Poaching & Solicitation: You may not use the Forum to build commercial mailing lists, aggressively pitch your agency, scrape member data, or solicit members for lead generation schemes or downline recruitment.
  • :locked_with_key: Account Security: Because members are vetted by their NPN, account sharing is strictly prohibited. You may not share your login credentials with unvetted colleagues, unlicensed assistants, or uplines.

:writing_hand: 3. User-Generated Content & Licensing

Between you and the Company, you own the content you submit. However, by posting on AgencyQuorum, you grant us necessary operational rights.

  • The License You Grant Us: You grant the Company a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, copy, modify, adapt, publish, translate, and distribute your content within the context of operating, promoting, and improving the Forum.
  • Content Standards: You may not submit content that is illegal, defamatory, harassing, abusive, hateful, or that violates agreements you have with third parties (e.g., FMO/IMO non-compete clauses).
  • Copyright & DMCA Policy: We respect intellectual property. If you believe your copyrighted work has been posted on the Forum without authorization, please notify us at support@agencyquorum.com with a formal takedown request including your contact information, identification of the infringed work, and a statement of good faith belief regarding the unauthorized use.

  • Absolute Discretion: The Company reserves the right to investigate violations, modify, redact, or delete any content, and suspend or terminate any user’s account at any time, for any reason, without prior notice or liability.
  • Service Modifications: We reserve the right to modify, suspend, or discontinue the Forum (or any part thereof) at any time. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the platform.
  • Cooperation with Authorities: We may report any suspected illegal activity to law enforcement, CMS, or state DOIs, and cooperate fully with their investigations, including disclosing your identity and account data.

The discussions, strategies, and resources shared on AgencyQuorum are for peer-to-peer educational and networking purposes only. Nothing posted on this platform by the Company, its moderators, or its users constitutes official legal, compliance, tax, or financial advice. You are solely responsible for your own compliance. Always consult with your agency’s compliance officer, official carrier representatives, or legal counsel.

“AS IS” DISCLAIMER

You accept all risks of using the Forum. The Company provides the platform on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, the Company disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Forum will be secure, error-free, or uninterrupted.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, neither the Company, its founders, nor its suppliers will be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from your use of the Forum. In no event shall the Company’s total liability to you for all claims arising out of or related to these Terms or your use of the Forum exceed fifty U.S. dollars ($50.00).

You agree to defend, indemnify, and hold harmless AgencyQuorum, its affiliates, directors, officers, and agents from and against any and all legal claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  1. Your use of and access to the Forum.
  2. Your violation of any term of these Terms or the Community Guidelines.
  3. Your violation of any third-party right, including copyright, property, or privacy rights.
  4. Any claim that your content caused damage to a third party (including clients or carriers).

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

  • Governing Law: The laws of the State of New Jersey will govern these Terms, without regard to conflict of law principles.
  • Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration in Atlantic County, New Jersey, before a single arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) pursuant to its Commercial Arbitration Rules.
  • Class Action Waiver: You and the Company agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial.

  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
  • Entire Agreement: These Terms, along with our Community Guidelines and Privacy Policy, constitute the entire agreement between you and the Company regarding the Forum, superseding any prior agreements.
  • Waiver: The failure of the Company to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
